My question is, specified IFSC public company can also provide in their AOA , lower than the min limit prescribed in this section ? Ex: For pvt co. 2 mem is the min quorum, but Sp IFSC public co. can also mention the limit lesser than 2 in its AOA ?? Here is the section : QUORUM FOR MEETINGS [SECTION 103] Quorum means the minimum number of members who must be personally present in order to constitute a valid meeting. Section 103 of the Companies Act, 2013 states that unless the articles of the company provide for a larger number, the quorum for the meeting shall be as follows- Public Company - If number of members is not more than 1000, quorum shall be 5 members personally present. if the number of members is more than 1000 but upto 5000, then the quorum shall be 15 members personally present If the number of members exceed 5000, then quorum shall be 30 members personally present. Private company - 2mem personally present shall be the quorum. In case of Specified IFSC Public Company Section 103 shall apply in case of a Specified IFSC public company, unless otherwise specified in the articles of the company. Notification No. GSR 8 (E), Date 4th January, 2017.
