What is the difference between 13(e) and 21? Both have the exact same wording about emergency, but scope is different: • Section 21 = Relation with 3rd party. It says if a partner does an act in emergency to save firm, that act binds the firm - the 3rd party buyer gets a good title. • Section 13(e)(ii) = Relation between partners. It says if a partner does an act in emergency to save firm, the firm must indemnify the partner. The partner cannot be held liable by other partners
