Q1: Under Section 31 of Companies Act, 2013, Prakhar Ltd. can avoid repeated issuance of prospectus by filing a Shelf Prospectus at the time of first offer and then issuing an Information Memorandum for subsequent offers. This avoids the need to issue a fresh prospectus every time, as the shelf prospectus + information memorandum together are treated as a deemed prospectus. The shelf prospectus is valid for 1 year. Q2: A Shelf Prospectus is a prospectus filed once for multiple issues over time, valid for 1 year, under Section 31 of the Companies Act, 2013. It is accompanied by an Information Memorandum for each subsequent offer. The combination is treated as a Deemed Prospectus.
