Doctrine of Indoor Management ka matlab hai ki jab ek company ke documents aur procedures ko dekh kar kisi third party ne uss company ke saath deal kiya hai, toh woh company ke internal irregularities ke liye zimmedar nahi hota. Ye principle "outsiders are not required to ensure internal compliance" ke base par hai. Matlab, agar kisi ne company ke official documents aur authority ke basis par deal kiya, aur company ke andar kuch rules follow nahi kiye gaye, toh outsider par iska effect nahi padega.
