Knowledge of Irregularity: If the outsider is aware of any internal irregularities within the company, they cannot claim protection under the doctrine. For example, if someone knows that a director is acting beyond their authority, they cannot rely on the doctrine. Suspicion of Irregularity: If the circumstances are such that a reasonable person would suspect an irregularity, the outsider must investigate further. Failing to do so could prevent them from claiming protection under this doctrine. Forgery: If the company’s documents are forged, the Doctrine of Indoor Management does not protect the outsider, as no one can claim rights under a forged document. Acts Outside Apparent Authority: If a company’s representative acts outside their apparent authority, and it’s something that the outsider should have recognized as unauthorized, the doctrine will not protect them. These exceptions ensure that while outsiders are generally protected when dealing with a company, they must still act responsibly and be cautious when faced with potential issues.
