Hi have doubt regarding sec 103 Quorum Agar sec 103 may 'adjourned meeting' may agar ek member Aya aaur baki proxies aaye toh proxies ko bhi deemed member mann jayega kya ? Quorum consider hoga kya

Sec 103(3) of Companies Act says "If at the adjourned meeting also, a quorum is not present within half-an-hour from the time appointed for holding meeting, the members present shall be the quorum." Note: the section says MEMBERS PRESENT shall be the quorum. It didn't say members personally present (in all other places the explicitly mentions "members personally present" for quorum) So my interpretation is, for adjourned meeting all the members present, both personally and through proxy, shall be deemed to be the quorum.
